1. Introduction

Welcome to Metaverse Headquarters, a dual-sided marketplace designed to bring users and companies together through "Missions" and NFT mints. By accessing and using our platform, you're agreeing to the following terms.

2. Definitions

  • Platform: Refers to the Metaverse Headquarters service, including its website, mobile application, and associated services.
  • User: Any individual or entity that accesses or uses the Platform.
  • Mission: May incorporate tasks presented on the platform which, upon completion, might enable a user to participate in a sweepstakes.

3. General Use

  • Eligibility: The platform is intended for users who are at least the legal age of majority in their jurisdiction.
  • User Interaction: Users can create "Organizations", which in turn can create "Missions".
  • Content: Mission pages can be created, shared, and consumed. Objectionable content, as deemed by Metaverse Headquarters, may be removed at our discretion.

4. User Accounts

  • Registration: Users can register using social logins (e.g., Twitter, Discord, Gmail). During registration, we collect email addresses and profile pictures.
  • Data Storage: User data is stored securely, both in our privately-owned database and through a third-party system.
  • Suspension/Termination: Accounts suspected to be bots, or that violate our ToS, may be suspended or terminated.

5. Missions Terms and Conditions

  • Eligibility: The "Missions" Sweepstakes (the "Sweepstakes") are open to users of the Metaverse Headquarters platform who are of the legal age of majority in their jurisdiction. Employees, contractors, directors, and officers of Metaverse Headquarters or its subsidiary companies are not eligible to participate. This covers all Missions that incorporate “Raffle” as their selection type, where winners are determined via a proprietary raffle system.
  • How to Enter: Users can enter the Sweepstakes by completing the missions on the Metaverse Headquarters platform. No purchase is necessary to participate or win.
  • Sweepstakes Period: Each mission will specify its start and end dates. Entries submitted after the specified end time for a mission will not be eligible.
  • Prizes:
    • a. Each mission will detail its specific prize(s).
    • b. Prizes are non-transferable and cannot be substituted, except at the discretion of Metaverse Headquarters.
    • c. Winners are responsible for any taxes or fees associated with receiving or using the prize.
  • Winner Selection:
    • a. Winners will be determined upon completion of the mission or in accordance with the rules specified for each mission.
    • b. Winners will either receive the prize instantly upon completion or will gain the right to receive the prize within a reasonable time frame of 1-3 months.
  • Notification: Winners will be notified via the Metaverse Headquarters platform or the email address associated with their account. If a winner does not claim their prize within 3 months from the date of winning, the prize may be forfeited.
  • Data & Privacy: By participating, entrants agree to the collection and usage of their personal information in accordance with Metaverse Headquarters' Privacy Policy. This may include the use of their name and likeness for promotional purposes without further payment, unless prohibited by law.
  • General Conditions:
    • a. Participants agree to abide by the terms of these official rules and the decisions of Metaverse Headquarters, which are final and binding.
    • b. Metaverse Headquarters reserves the right to disqualify any participant or winner who, in its sole suspicion, tampers with the entry process, intentionally submits more entries than allowed, or violates these rules.
  • Liability Release: By participating, entrants release Metaverse Headquarters, its subsidiaries, affiliates, partners, employees, directors, and agents, from any and against any claim or cause of action arising out of participation in the Sweepstakes.
  • Disputes: Any disputes related to this Sweepstakes will be resolved individually without resort to any form of class action and are governed by Delaware law, without reference to its conflict-of-laws principles.

When you register on our platform, we collect information such as:

  • Email address
  • Profile picture
  • Social media account details (if you register using a social login)
  • Web3 wallet address/es

We may also collect non-personal data, which might include:

  • Browser type and version
  • Operating system
  • IP address
  • Pages you visit on our platform
  • Dates and times of your visits

7. Intellectual Property

  • Rights: Unless otherwise specified, the platform and its features, graphics, user interfaces, visual interfaces, photographs, trademarks, and logos are owned by Metaverse Headquarters. Users and the platform share rights over the content generated.
  • Infringement: We respect the intellectual property rights of others and ask users to do the same. We will respond to notices of copyright infringement in line with the Digital Millennium Copyright Act (DMCA).

8. Monetization and Pro Tier

Currently, there is no subscription model for the Pro tier. However, users possessing a Metaverse HQ 2023 NFT or Whale NFT will receive Pro tier benefits. We may decide to introduce a subscription-based model for the Pro tier in the future.

9. Dispute Resolution

  • Handling: Disputes between users, or between users and Metaverse Headquarters, will be managed through our ticketing system.
  • Arbitration: We maintain a dedicated support team to assess all disputes, ensuring fairness and transparency.

10. Limitations and Liabilities

  • General Release: By using the platform, users release Metaverse Headquarters, its affiliates, and representatives from claims, damages, and demands of every kind, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and our service.

11. Modifications to ToS

We reserve the right to modify these terms at any time. Changes will be posted on the platform, and by continuing to use the platform after changes are posted, users agree to those changes.

12. Termination

Users can terminate their accounts voluntarily. We may also suspend or terminate accounts for violations of our ToS.

13. Miscellaneous

  • Web3 Safety: We advise users to adopt safe practices when using web3 wallets. Never share your seed phrase. Our staff will never request personal details or seed phrases from users.

Introduction

This contract is developed and provided by Metaverse HQ. Users, herein referred to as "Owners", can deploy versions of our contract with their own specific configurations.

Rights of Metaverse HQ

While Owners retain control over the deployed version of this contract, Metaverse HQ retains specific access rights to certain functions of the contract. These access rights are preserved strictly for remedy purposes, ensuring the contract operates as intended and to assist Owners should any complications arise.

Owner's Responsibility

Owners, by choosing to launch this contract through Metaverse HQ, acknowledge the access rights retained by Metaverse HQ and are responsible for their own configurations and management of the contract post-deployment.

Transparency and Source Code

In the spirit of full transparency and trust, the source code for this contract will be made publicly available. Owners and other interested parties can refer to the source code via a link provided by Metaverse HQ in this Terms and Conditions section. This ensures that all functionalities of the contract are open for scrutiny and verification.

Disclaimer

Metaverse HQ provides this contract in its current state with all possible precautions taken. Owners are advised to understand the implications and functionalities before deploying. Metaverse HQ will not be responsible for any unforeseen complications post deployment, though will offer remedy functions as specified.

Modifications to the Terms

Metaverse HQ reserves the right to modify these Terms and Conditions at any time. Owners will be notified of any significant changes.

Acceptance of the Terms

By deploying this contract, the Owner agrees to and accepts all terms outlined in this section.
